Section 17A of the Malaysian Anti-Corruption Commission Act 2009 (“MACC Act 2009”) takes effect on 1st June 2020, introducing corporate liability for corruption. This provision criminalises commercial organisations for corruption-related acts committed by associated persons when done for the commercial organisation's benefit.

Where a commercial organisation is found liable, its directors and senior management are deemed to have committed the offence as well, unless they can prove that adequate procedures were in place to prevent such conduct. 

According to the Guidelines on Adequate Procedures issued by the Prime Minister’s Department, commercial organisations must implement robust anti-corruption measures across five key T.R.U.S.T principles:

The organisation can no longer hide behind an individual employee who becomes a scape goat for the benefit of the company. However, the risk can be mitigated if the commercial organisation has implemented adequate measures.”
